Terms of Service

1. Agreement to These Terms

These Terms of Service (Terms") govern access to and use of the Asher Creative Studio website, including its pages, forms, content, scheduling tools, client portal links, and other online features (collectively, theWebsite"). The Website is operated by Asher Creative Studio LLC, a Utah limited liability company (Asher Creative Studio," "we," "us," or "our").

By accessing the Website, submitting an inquiry, scheduling a consultation, requesting a proposal, or otherwise using the Website, you acknowledge that you have read and agree to these Terms. If you do not agree, do not use the Website.

2. Eligibility and Intended Use

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase services. The Website is intended for business owners, organizations, and individuals seeking website design and related digital services. It is not directed to children under 13.

3. Website Information Is Not a Project Agreement

Descriptions, starting prices, examples, timelines, and package information displayed on the Website are general information only. They are not a binding offer or guarantee. A client project begins only after the parties approve the scope, sign the applicable proposal or Website Design Agreement, and Asher Creative Studio receives the required deposit.

If these Terms conflict with a signed proposal, statement of work, or Website Design Agreement, the signed document controls for that client project.

4. Services and Pricing

Asher Creative Studio may offer website design, custom website development, domain connection assistance, business-email setup assistance, third-party integrations, website maintenance, and website updates. Current Website prices are starting prices unless expressly stated otherwise. Final pricing depends on the approved scope, content, functionality, integrations, timeline, and technical requirements.

Services or deliverables not expressly included in an approved scope are additional work and may require a written change order, revised proposal, separate invoice, or hourly billing at the then-current rate.

5. Proposals, Deposits, and Payments

Unless a signed agreement states otherwise, proposals are valid for 14 days. A 50% deposit is required to reserve a project and begin work. The remaining balance is due after final approval and before public launch, domain connection, transfer of administrative access, or delivery of final files, as applicable.

Invoices must be paid by the stated due date. Processing fees, taxes, subscription charges, domain-registration fees, hosting charges, platform fees, merchant fees, and third-party expenses are the client’s responsibility unless expressly included in writing. Deposits and cancellation charges are governed by the applicable signed agreement.

6. Client Responsibilities

Clients are responsible for providing accurate, complete, timely, and legally usable materials and access needed for the project, including:

  • final text, logos, photographs, videos, brand assets, product or service details, and legal disclosures;
  • timely consolidated feedback, approvals, and decisions from an authorized decision-maker;
  • access to client-owned domains, email providers, scheduling tools, payment processors, and other approved third-party accounts; and
  • confirmation that supplied content does not violate copyrights, trademarks, privacy rights, publicity rights, contracts, or applicable law.

Delays in client materials, access, feedback, approvals, or payments may pause the project and extend the timeline. Asher Creative Studio is not responsible for delays caused by the client or a third-party provider.

7. Revisions and Additional Work

Website packages include the number of revision rounds stated in the proposal or agreement. Unless otherwise stated, a revision round means one consolidated list of changes submitted at one time. Additional revision rounds, new pages, redesigned concepts, new functionality, extensive copy changes, and requests outside the approved scope are billed separately.

8. Domains, Email, Hosting, and Third-Party Platforms

Clients should purchase and retain ownership of their domains and third-party accounts. Asher Creative Studio may assist with setup or connection but does not guarantee the continued operation, pricing, availability, security, policies, or compatibility of any registrar, hosting platform, email provider, website platform, payment processor, scheduling provider, plug-in, application programming interface, or other third-party service.

Clients are responsible for renewals, subscriptions, account security, recovery information, transaction fees, compliance requirements, and provider terms. Changes made by a client or third party—including DNS changes—may interrupt a website or business email. Asher Creative Studio is not responsible for third-party outages, suspensions, data loss, policy changes, platform changes, or discontinued services beyond our reasonable control.

9. Intellectual Property

The Website and its original text, graphics, branding, layout, downloads, and other materials are owned by or licensed to Asher Creative Studio and are protected by applicable intellectual-property laws. You may view the Website for personal or internal business evaluation but may not copy, reproduce, republish, sell, scrape, distribute, reverse engineer, or create derivative works from Website content without prior written permission.

Ownership and licensing of client-project deliverables are governed by the applicable signed agreement. Client-owned content remains the client’s property. Third-party materials remain subject to their respective licenses.

10. Portfolio Use

Unless a signed agreement states otherwise or the client withdraws permission in writing before launch, Asher Creative Studio may identify the client and display the completed public-facing website, screenshots, and general project description in its portfolio, social media, presentations, and marketing materials. Confidential information and nonpublic account information will not be intentionally disclosed.

11. Acceptable Use

You agree not to use the Website to:

  • violate any law, regulation, contract, intellectual-property right, privacy right, or other right;
  • submit false, misleading, unlawful, infringing, harassing, malicious, or harmful material;
  • introduce malware, interfere with Website operation, probe security, bypass access restrictions, or attempt unauthorized access;
  • impersonate another person or misrepresent your identity or authority; or
  • collect Website data through automated means except as permitted by law and our written authorization.

12. Communications and Electronic Transactions

By submitting your contact information, you authorize Asher Creative Studio to respond to your inquiry by email, telephone, text message, or through an approved client-management platform. You may opt out of nonessential marketing communications at any time. Transactional and project-related communications may still be sent when necessary.

You consent to the use of electronic records, electronic signatures, online acceptance, and electronic delivery of proposals, agreements, invoices, notices, and other project documents to the extent permitted by applicable law.

13. Privacy

Our collection and use of personal information are described in our Privacy Policy, which should be read together with these Terms. Do not submit sensitive personal, financial, medical, government-identification, or account-password information through a general inquiry form unless specifically requested through an approved secure method.

14. Accessibility and Legal Content

Asher Creative Studio aims to create thoughtful, usable websites but does not provide legal advice and does not guarantee that the Website or any client website will satisfy every accessibility law, industry standard, privacy requirement, or regulatory obligation. Clients are responsible for obtaining appropriate legal advice and supplying required privacy notices, terms, disclaimers, accessibility statements, refund policies, professional disclosures, and other legally required content for their businesses. Specialized audits, remediation, or legal-compliance work must be separately agreed in writing.

15. Disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. ASHER CREATIVE STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

We do not guarantee uninterrupted operation, error-free content, search-engine placement, traffic, leads, sales, revenue, donations, bookings, conversions, business outcomes, or continued compatibility with third-party services. Nothing on the Website is legal, tax, accounting, financial, medical, or other professional advice.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASHER CREATIVE STUDIO AND ITS OWNER, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITIES; OR DAMAGES ARISING FROM THIRD-PARTY SERVICES, SECURITY EVENTS, OUTAGES, OR UNAUTHORIZED ACCOUNT CHANGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASHER CREATIVE STUDIO’S TOTAL LIABILITY ARISING FROM WEBSITE USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability relating to a paid client project is governed by the limitation stated in the applicable signed agreement. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Asher Creative Studio and its owner, members, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable expenses arising from your misuse of the Website, your violation of these Terms, or content and materials you submit or direct us to use.

18. Suspension and Termination

We may restrict or terminate access to the Website when reasonably necessary to protect the Website, users, third parties, or our legal rights, or when these Terms are violated. Project suspension, cancellation, termination fees, and treatment of deposits are governed by the applicable signed agreement. Provisions that by their nature should survive termination will remain in effect.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Unless a signed agreement provides otherwise, any legal action arising from these Terms or the Website must be brought in a state or federal court with jurisdiction in Summit County, Utah, and the parties consent to that venue and jurisdiction.

20. Changes to These Terms

We may update these Terms as our Website, services, or legal obligations change. The revised version will be posted with a new “Last updated” date. Changes apply prospectively when posted unless a different effective date is stated. Continued use of the Website after an update constitutes acceptance of the revised Terms. Material changes to an existing signed client project require written agreement as provided in the applicable contract.

21. General Provisions

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign rights under these Terms without our written consent. These Terms, together with the Privacy Policy and any applicable signed agreement, constitute the relevant agreement between you and Asher Creative Studio concerning the matters they address.
